League of Legends Refer-A-Friend 2.0 Referral Program Terms and Conditions.

1. General Description.

The Riot Games, Inc. League of Legends Refer-A-Friend 2.0 Program (the “Program”) provides an opportunity for League of Legends players with valid accounts (each, a “LoL Player”) to promote the League of Legends game (the “Game”) to fellow video gaming enthusiasts. To put it simply, if a LoL Player refers someone who then creates an account and becomes a LoL Player, one (1) “Program Point” is earned by the person responsible for the referral. Those LoL Players that earn requisite numbers of Program Points may be eligible to receive “Milestone Rewards.” To participate, LoL Players (hereinafter, in the event the LoL Player is a minor, his/her parent or legal guardian) must agree to abide by these Program terms and conditions (the “Agreement”) together with the League of Legends Terms of Use for the respective nation, region, or territory in which the user resides as followshttp://na.leagueoflegends.com/legal/termsofuse. Failure to abide by the LoL Player’s respective Terms of Use or the Agreement may result in the termination of the LoL Player’s account; prohibition on further participation in Program; and/or forfeiture of Milestone Rewards.

2. Referrals.

In general, to earn Program Points and redeem Milestone Rewards, the following is applicable to each Program participant:

• The LoL Player’s account must be in good standing at all times;
• The referred individual must successfully create a valid LoL Player account as determined by Riot Games, Inc. (“Riot Games”) at its sole discretion, and must progressively “level up” that account until the referred LoL Player’s account reaches level 10, each such account being referred to herein as an “Activation”;
• The referred individual must not have had a previous LoL Player account or be a current LoL Player for purposes of the referral. Creating self-made “smurf” accounts (social engineering/deceptive posting of referral links/self-“referrals”), or the use of bots/scripts, are prohibited and are in violation of the respective League of Legends Terms of Use Code of Conduct;
• While participating in the Program, LoL Players shall not: send any “spam” or otherwise illegal emails; create bulk communications of any kind in any medium (e.g. mass text blasts; automated postings on Internet forums/ instant messages/phone calls); violate any local, state, or federal laws or regulations when attempting to create a referral; or otherwise engage in any obscene, objectionable, disparaging, defamatory, vulgar, pornographic, racist, sexist, or illegal behavior in connection to a referral(s). In the event a LoL Player engages in any of the foregoing prohibited activities, Riot Games, at its sole discretion, may terminate the LoL Player’s account, prohibit further participation in the Program, and/or effect forfeiture of Milestone Rewards. In addition, the LoL Player hereby releases, indemnifies, and holds Riot Games, its parents, successors, affiliates, agents, and assigns, along with their respective directors, members, shareholders, officers, and employees (collectively, the “Released Parties”), harmless from any and all claims that may arise as a result of such prohibited activities.
• Influence Points. Referring LoL Players shall be awarded 250 “Influence Points” (“IP”) per each referred individual that successfully creates a valid account and “levels up” to level 5 on the way to Activation, subject to the terms herein;

3. Program Points.

Each time a LoL Player generates a referral in conformance with the requirements set forth above which results in an Activation, that LoL Player earns one (1) Program Point. In the event that a LoL Player’s email to a potential referral (or other form of communication) is forwarded to other individuals and such referrals result in additional Activations, one Program Point shall be earned for each of the new Activations. In short, if one communication is forwarded to ten people and all ten successfully sign up for LoL Player accounts, ten Program Points are earned. If eight of the ten successfully create new LoL Player accounts, eight Program Points are earned, etc. Program Points will be cumulative and the LoL Player may redeem Program Points for Milestone Rewards as further described below.Program Points may not be transferred, shared, sold, or redeemed by any other Program participant or LoL Player without the express, written permission of Riot Games.

4. Term.

The term (“Term”) of the Program shall commence on the date above and continue for one (1) year. Following the Term, Riot Games, at its sole discretion, shall have the right to renew the Term (each, a “Renewal Term”) for additional one-year periods. During the Term and any Renewal Term, Riot Games may, at its sole discretion, terminate the Program at any time upon thirty (30) days’ notice to Program participants (the “Notice Period”), and said notice shall be delivered to the email address used in connection to the LoL Player’s account (a “Notice”). During the Notice Period, LoL Players may continue to earn and redeem Program Points for Milestone Rewards, as applicable, consistent with the terms and conditions herein. Following termination of the Agreement (whether occurring upon expiration of the Term, a Renewal Term or, alternatively, occurring in connection to termination as permitted above): (i) no further Program Points may be earned; (ii) participants shall have a period of thirty (30) days in which to redeem any of their remaining Program Points for Milestone Rewards (the “Post Term”); and (iii) any Program Points not so redeemed will become null and void and of no further force or effect. 5. Milestone Rewards.

During the Term, a Renewal Term, or Post Term, the following items are redeemable per the applicable Program Points earned:

6. Rewards Redemption.

Once a LoL Player has earned the requisite Program Points for a particular Milestone Reward, the LoL Player may elect to redeem the points in order to receive the applicable Milestone Reward. LoL PLAYERS MUST CHOOSE TO REDEEM REWARDS. Applicable Rewards are granted once a LoL Player clicks the Redeem button and as further described below. MILESTONE REWARDS FOR EACH PROGRAM POINT TIER MAY ONLY BE REDEEMED ONCE PER LoL PLAYER ACCOUNT. ONCE REDEEMED, PROGRAM POINTS SHALL CONTINUE TO ACCUMULATE IN ORDER TO REACH THE NEXT TIER.

Following a LoL Player’s election to redeem Program Points for Milestone Rewards, Riot Games shall strive to grant a LoL Players Milestone Rewards in a reasonable, timely manner; however, the granting of Milestone Rewards is subject to Riot Games’ review, website updates, and, in addition thereto, at Riot Games’ sole discretion.

7. Program Alterations.

During the Term, or any Renewal Term, Riot Games, in its sole discretion, may alter, adjust, revise, substitute, or otherwise change the terms and conditions herein, including, but not limited to, Program Points and Milestone Rewards. Said alterations or revisions, if any, are non-negotiable. However, prior to implementing any material changes to the Program, Riot Games shall provide thirty (30) days’ Notice to Program participants. A LoL Player’s continued participation in the Program after any alteration or revision shall constitute its consent to such modification. 8. Program Transfers.

In the event that any LoL Player participated in a previous refer a friend promotion and elects to transfer its participation (together with any previous referral points earned) to the Program, then, in such an event, the LoL Player understands that any and all unredeemed rewards offered in the original refer a friend program are null and void and shall no longer be redeemable (with the exception of any IP awards earned, which shall be immediately credited to a LoL Player’s account upon transfer). Any original referral points transferred to the Program shall become Program Points redeemable only for Program Rewards subject to the terms and conditions herein. Under no circumstances will it be possible for a LoL Player to transfer back into a previous friend promotion.

9. Fraudulent Referrals Prohibited.

Any LoL Player or other individual who attempts or otherwise encourages, directly or indirectly, referrals under multiple identities, and/or uses multiple computers, multiple Internet Protocol or email addresses, so-called “proxy servers,” or any software program to manipulate or create multiple identities/referrals, or uses any other device, method, or artifice to create or encourage, directly or indirectly, false referrals, as determined by Riot Games, will be disqualified from further Program participation and the LoL Player’s Game account may be terminated. In the event of such an occurrence, all Program Points earned by the LoL Player as a result of fraudulent activities shall be rendered null and void and no Milestone Rewards shall be provided to that LoL Player. Riot Games, at its sole discretion, reserves the right to review and investigate all Program activities and to take any and all measures it deems necessary to ensure a fair, ongoing, Program promotion. Riot Games shall have the right, at its sole discretion, for any reason (including, but not limited to, infection by computer virus, bugs, worms, tampering, unauthorized intervention, fraud, technical failures, or any other cause that corrupts or affects the administration, security, fairness, integrity, or proper conduct of Program) to cancel, terminate, modify or suspend Program and distribute the Milestone Rewards as it deems fair and appropriate. RIOT GAMES RESERVES THE RIGHT TO PROSECUTE ANY FRAUDULENT REFERRALS TO THE FULLEST EXTENT OF THE LAW.

10. Force Majeure.

In the event that Program performance by Riot Games is made inadvisable, impractical, illegal or impossible by reason of a natural disaster, an act of God, war, terrorism, vandalism, government regulations, disaster, fire, strikes, civil disorder, curtailment of transportation facilities, criminal act, or other similar cause beyond its control, Program may be suspended or terminated without penalty for any one or more of such reasons by Notice from Riot Games to Program participants.

11. Governing Law.

Program shall be governed by the laws of the State of California, USA, without giving effect to any conflict of law provisions thereof. Any causes of action arising out of or connected with this Agreement shall be resolved exclusively before a court located in the County of Los Angeles, State of California, USA, having competent jurisdiction, which court shall apply the laws of the State of California without giving effect to any conflict of law provisions thereof.

12. Entire Agreement.

This Agreement, together with the applicable League of Legends Terms of Use (located at the URL above), contains the entire agreements and understandings of Riot Games and Program participants in connection with the subject matter thereof. If any provision of this Agreement or the League of Legends Terms of Use shall be held by a court of competent jurisdiction to be illegal, invalid or unenforceable, the remaining provisions shall remain in full force and effect.
